IMPORTANT — PLEASE READ CAREFULLY

These Terms and Conditions (“Terms”) govern the contractual relationship between Goji Health Care Limited (“Goji”) and each individual (“the Client”) who purchases or enquires about Goji’s health coordination services. By completing a booking or submitting an enquiry form, the Client confirms that these Terms have been read, understood, and agreed to.

Goji is a health coordination intermediary. Goji arranges access to medical screening services performed by independent Partner Hospitals in mainland China. Goji does not itself provide clinical, diagnostic, or therapeutic services.

Partner Hospitals are selected on the basis of international patient capability, English-speaking clinical staff, and clinical standards consistent with internationally accredited institutions. Goji requires each Partner Hospital to hold NHC Grade 3 designation, JCI accreditation, or equivalent international accreditation.

 

 

1. Definitions

In these Terms, the following expressions have the meanings set out below:

 

“Booking Confirmation” the written notice issued personally by a Coordinator, following review of the Client’s intake submission, confirming the appointment date and time, Package composition, and assigned Partner Hospital. A Booking Confirmation is distinct from an Order Confirmation and constitutes the point at which a binding booking is formed.

“Order Confirmation” the automated email sent to the Client immediately upon receipt of payment. An Order Confirmation acknowledges that payment has been received and the intake submission is under review. It does not constitute acceptance of a booking; no appointment is confirmed until a Booking Confirmation is issued.

“Coordinator” a Goji employee or contractor responsible for managing the Client’s booking, liaising with the Partner Hospital, and providing post-result support.

“Coordination Fee” the amount payable by the Client to Goji for the Coordination Services, as specified in the applicable Package description at the time of booking.

“Coordination Services” the services performed by Goji as described in Clause 3, comprising package recommendation, appointment scheduling, intake management, hospital briefing, and report follow-up. Coordination Services do not include clinical services.

“Force Majeure Event” any event beyond Goji’s reasonable control, including but not limited to public health emergencies declared by competent government authorities, government-ordered travel or operational restrictions, acts of God, or civil unrest.

“Package” a defined combination of health screening items available at the Essential, Targeted, or Premium Retreat tier, as described on Goji’s website at the time of booking.

“Partner Hospital” an independent medical institution in mainland China with which Goji holds a referral cooperation agreement, selected on the basis of NHC Grade 3 designation, JCI accreditation, or equivalent international accreditation.

“Results Consultation” a post-report call or meeting between the Client and a Coordinator to assist the Client in understanding the content of the bilingual health report. This service does not constitute medical advice.

 

 

2. Parties and Legal Structure

1. Goji Health Care Limited is a company incorporated in Hong Kong. These Terms are governed by and construed in accordance with the laws of Hong Kong.

2. The contract formed by these Terms is between the Client and Goji Health Care Limited. No contractual relationship is formed between the Client and any Partner Hospital under these Terms. Clinical services at the Partner Hospital are subject to the hospital’s own patient terms and applicable Chinese medical regulations.

3. Goji acts as principal in providing Coordination Services. Goji is not the agent of the Client, nor the agent of any Partner Hospital. Goji does not act in a fiduciary capacity.

4. These Terms apply to individual Clients aged 18 years or over. Goji does not accept bookings on behalf of, or in respect of, persons under the age of 18. By completing a booking, the Client confirms that they are at least 18 years of age. Where false information is provided regarding age, Goji reserves the right to cancel the booking and retain an administrative fee of  USD 70.

 

 

3. Scope of Coordination Services

3.1 Services provided

1. Subject to receipt of payment in full and a completed intake submission, Goji will:

(a) recommend a Package appropriate to the Client’s age, gender, and stated health profile;

(b) assign a named Coordinator to manage the booking from initial enquiry to report delivery;

(c) schedule an appointment at a Partner Hospital in the Client’s chosen city within the timeframe set out in the Booking Confirmation;

(d) provide the Partner Hospital with a pre-visit briefing based on the intake form, including language requirements and Package composition;

(e) support the Client during the appointment day by telephone or in person, in English;

(f) follow up with the Partner Hospital to obtain the bilingual health report and deliver it digitally to the Client within 3–5 business days of the appointment; and

(g) provide a Results Consultation at no additional charge.

3.2 Services excluded

2. Goji does not provide, and these Terms do not cover:

(a) clinical examination, diagnosis, or treatment;

(b) interpretation of test results for the purpose of medical diagnosis or treatment planning — the Results Consultation is a lay explanation service only;

(c) travel, accommodation, or transport arrangements, except where the Premium Retreat Package expressly includes airport transfer as a stated service item;

(d) follow-up medical treatment arising from screening results; or

(e) emergency medical assistance.

3.3 Hospital assignment

3. Goji assigns a Partner Hospital within seven business days of issuing a Booking Confirmation. The specific Partner Hospital is not fixed at the time of booking. Selection is based on city, package tier, availability, and accreditation status.

4. Where the Client raises a reasonable objection to the assigned Partner Hospital, Goji will use reasonable endeavours to offer one alternative Partner Hospital of equivalent tier in the same city. Where no suitable alternative is available, Goji will provide a full refund of the Coordination Fee.

5. The Client may not select or require a specific Partner Hospital by name. Package descriptions on Goji’s website describe service tiers and accreditation standards and do not constitute commitments to specific named institutions.

3.4 Report recognition

6. Bilingual health reports issued by JCI-accredited and NHC Grade 3 Partner Hospitals are widely recognised by employers, insurers, and relevant authorities across multiple jurisdictions. Goji does not guarantee that any specific employer, insurer, regulatory body, or authority will accept or act upon the results of a Client’s screening. The Client is responsible for verifying acceptance requirements with the relevant institution before booking.

 

 

4. Booking and Payment

4.1 Booking process

1. Essential Packages may be booked and paid for directly through Goji’s website. Targeted and Premium Retreat Packages require a Coordinator discussion prior to confirmation; a Coordinator will contact the Client within one business day of the enquiry submission.

2. Upon receipt of payment, Goji will send an Order Confirmation by email. The Order Confirmation is an automated acknowledgment that payment has been received and the intake submission is under review. It does not constitute acceptance of a booking. A booking is confirmed only upon Goji’s issuance of a written Booking Confirmation, sent personally by the Coordinator after the appointment date, Package composition, and Partner Hospital have been agreed.

3. The Client is responsible for ensuring that all intake information provided is accurate and complete. Inaccurate or incomplete intake information that causes a clinical or scheduling difficulty at the Partner Hospital will not give rise to a right of refund or compensation.

4.2 Payment

4. The Coordination Fee is payable in full at the time of booking, via the payment methods available on Goji’s website at the time of the transaction. Payment is accepted by credit and debit card through Goji’s secure payment processor.

5. All prices displayed on Goji’s website are inclusive of Goji’s coordination margin. Prices do not include personal travel, accommodation, or visa costs, which are the Client’s sole responsibility.

6. Goji reserves the right to amend its pricing at any time prior to issuance of a Booking Confirmation. Once a Booking Confirmation has been issued, the Coordination Fee is fixed.

4.3 Currency and refunds

7. Where a refund is applicable under these Terms, it will be made in the same currency and to the same payment method used for the original transaction, in the original amount charged. Goji does not adjust refund amounts to account for exchange rate movements occurring after the date of the original payment.

 

 

5. Cancellation and Rescheduling

5.1 Cancellation by the Client

1. The following cancellation and rescheduling schedule applies to all Packages, measured by reference to the time remaining before the scheduled appointment:

(a) More than 72 hours before appointment: cancellation entitles the Client to a full refund; one free change of date is permitted.

(b) Between 72 hours and 48 hours before appointment: cancellation entitles the Client to a refund of 50% of the Coordination Fee; Goji retains 50% to cover non-recoverable Partner Hospital costs; rescheduling is permitted subject to an administrative fee of 30% of the Coordination Fee.

(c) Less than 48 hours before appointment: no refund is payable; rescheduling is not permitted.

(d) Within 24 hours of the Booking Confirmation (regardless of appointment timing): the Client is entitled to a full refund; this right applies once per booking only and takes priority over all other windows where they overlap.

(e) After Order Confirmation but before Booking Confirmation: where the Client cancels after receiving an Order Confirmation but before a Booking Confirmation has been issued, the booking has not yet been accepted and a full refund will be provided; this right is separate from and does not consume the 24-hour cooling-off right above.

2. Where the Client does not attend the appointment without prior notice, no refund is payable and no rescheduling right arises.

5.2 Partial completion

3. Where the Client withdraws from a screening appointment after it has commenced, for reasons other than a clinical decision by the Partner Hospital’s medical staff, the full Coordination Fee is retained by Goji and no refund is issued.

4. Withdrawal arising from a clinical decision by the Partner Hospital’s medical staff — for example, a contraindication identified during examination — does not constitute a voluntary withdrawal. In such circumstances, Goji will work with the Client to reschedule the relevant items or arrange a pro-rata credit note, as appropriate.

5.3 Visa denial

5. Where the Client is unable to attend the appointment due to a verifiable denial of a visa or entry permit to mainland China, Goji will, upon receipt of documentary evidence, offer one free rescheduling within 12 months, or a refund of 80% of the Coordination Fee, Goji retaining 20% as an administrative fee. This clause applies to visa and entry permit denials only and does not apply to decisions not to travel for personal or commercial reasons.

5.4 Force Majeure

6. Where Goji is unable to fulfil a booking due to a Force Majeure Event — including a public health emergency declared by competent government authorities or government-ordered restrictions materially affecting normal outpatient operations at the relevant Partner Hospital — Goji will notify the Client as soon as reasonably practicable and will offer either: (a) a full refund of the Coordination Fee; or (b) a credit note of equivalent value valid for 12 months from the date of issue. Goji is not liable for any consequential losses including travel, accommodation, or visa costs incurred in connection with a Force Majeure cancellation.

5.5 Rescheduling

7. Rescheduled appointments are subject to availability at the relevant Partner Hospital. Where a free rescheduling right has been exercised or is not available under the schedule in Clause 5.1, subsequent rescheduling requests are subject to an administrative fee of HKD 300 per request.

5.6 Cancellation by Goji

8. Goji reserves the right to cancel a booking where: (a) the intake information provided is materially inaccurate or incomplete; (b) the Partner Hospital cannot accommodate the booking due to circumstances outside Goji’s reasonable control; or (c) Goji determines, acting reasonably, that the Coordination Services cannot be provided safely or appropriately. In such cases, Goji will provide a full refund of the Coordination Fee.

 

 

6. Substitute Services

1. Where a specific screening item within a Package cannot be performed at the Partner Hospital due to equipment unavailability or operational reasons, Goji will use reasonable endeavours to arrange a clinically equivalent substitute item. The Client will be notified of any substitution in advance where reasonably practicable.

2. Where no clinically equivalent substitute is available, Goji will refund the proportion of the Coordination Fee attributable to the undelivered item, calculated on a pro-rata basis by number of items.

3. A clinical decision by Partner Hospital staff not to perform a specific item — for example, due to a contraindication identified on the day — does not constitute a failure to deliver the service by Goji or the Partner Hospital. No refund arises in respect of clinically contraindicated items.

 

 

7. Medical Disclaimer

1. GOJI IS NOT A HEALTHCARE PROVIDER. Goji does not provide medical advice, medical diagnosis, or medical treatment of any kind.

2. Health screening identifies certain measurable parameters at a point in time. A result within a normal reference range does not exclude the presence of disease. The absence of an abnormal finding must not be treated as confirmation of good health or as a substitute for advice from a registered medical practitioner.

3. The Results Consultation is a lay explanation service. The Coordinator is not a registered medical professional. The Results Consultation does not constitute medical advice and must not be relied upon as such. Goji accepts no liability for decisions made on the basis of information communicated during a Results Consultation. The Client should consult a registered medical practitioner before making any medical decision based on screening results.

4. Goji makes no representation or warranty as to the diagnostic accuracy, completeness, or clinical interpretation of results produced by Partner Hospitals. Clinical quality is the sole responsibility of the Partner Hospital.

 

 

8. Data Protection and Health Information

8.1 General

1. Goji processes personal data in accordance with its Privacy Policy, which is incorporated into these Terms by reference and available at gojihealth.com/privacy. By completing a booking, the Client confirms that the Privacy Policy has been read and understood.

2. The legal basis for Goji’s processing of health data is the Client’s explicit consent, given at the time of booking. The Client has the right to withdraw consent at any time, subject to Clause 8.3.

8.2 Data transfer to Partner Hospitals

3. Goji transfers to each Partner Hospital only the minimum dataset required to execute the appointment: full name, passport number, date of birth, nationality, a summary of relevant medical history, and Package composition. The Client’s full intake form, contact details, and payment information are retained within Goji’s systems and are not transferred to Partner Hospitals.

4. Partner Hospitals receiving the Client’s data are located in mainland China. By proceeding with a booking, the Client consents to the cross-border transfer of personal data, including sensitive health data, to mainland China.

8.3 Retention and deletion

5. Health records transferred to and held by Partner Hospitals are subject to retention obligations under Chinese medical regulations, including the Medical Institution Medical Record Management Regulations, which require retention of patient records for a minimum of 15 years. Goji does not control the data retention practices of Partner Hospitals. Requests for deletion of data held by a Partner Hospital must be directed to that institution and may not be capable of fulfilment due to applicable Chinese law.

6. Personal data held within Goji’s own systems, including coordination records, contact information, and correspondence, will be retained for 7 years following the date of the Client’s last interaction with Goji, after which it will be securely deleted, subject to any applicable legal obligation to retain for a longer period.

7. Subject to Clause 8.3, the Client may exercise rights of access, rectification, erasure, and data portability in respect of data held in Goji’s systems by contacting privacy@gojihealth.com. Goji will respond within 30 calendar days.

 

 

9. Limitation of Liability

1. Goji’s total liability to the Client under or in connection with these Terms, whether in contract, tort including negligence, or otherwise, is limited to the amount of the Coordination Fee actually paid by the Client in respect of the booking giving rise to the claim.

2. Goji is not liable for: (a) indirect or consequential loss; (b) loss of profit or anticipated savings; (c) loss of enjoyment or wasted expenditure on travel and accommodation; (d) physical, psychological, or economic harm arising from screening results or from decisions made in reliance on those results; or (e) any liability arising from the clinical acts, omissions, errors, or negligence of any Partner Hospital.

3. Goji has exercised reasonable care in selecting Partner Hospitals on the basis of internationally recognised accreditation, including JCI accreditation and NHC Grade 3 designation. Where clinical harm arises from the acts or omissions of a Partner Hospital, the Client’s remedy lies against that Partner Hospital directly. Goji will provide reasonable cooperation, including disclosure of the relevant Partner Hospital’s contact details and applicable cooperation agreement reference, to assist the Client in pursuing such a claim.

4. Nothing in these Terms limits or excludes Goji’s liability for death or personal injury caused by Goji’s own negligence, for fraud or fraudulent misrepresentation, or for any liability that cannot be excluded or limited under applicable mandatory law.

 

 

10. Intellectual Property

1. All content on Goji’s website and marketing materials, including text, design, and branding, is the intellectual property of Goji Health Care Limited or its licensors. No such content may be reproduced, distributed, or commercialised without Goji’s prior written consent.

2. The Client’s health report is issued by the Partner Hospital and is the Client’s personal property. Goji may retain a copy for coordination and quality-review purposes in accordance with the Privacy Policy.

 

 

11. Governing Law and Dispute Resolution

1. These Terms are governed by the laws of Hong Kong. The application of mandatory consumer protection provisions of any other jurisdiction, to the extent that such provisions cannot be excluded by contract, is not affected by this clause.

2. In the event of a dispute, the Client should first contact Goji’s customer service team at claim@healthgoji.com. A senior Goji representative will respond in writing within 5 business days.

3. Where a dispute is not resolved by negotiation within 30 calendar days of the Client’s initial written notice, and the value in dispute is less than HKD 50,000, either party may refer the matter to mediation administered by the Hong Kong Mediation Centre or to such other competent tribunal as may be available.

4. For disputes exceeding HKD 50,000 in value, either party may refer the dispute to arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force at the time of referral. The arbitration shall be conducted by a sole arbitrator, in English, and the seat of arbitration shall be Hong Kong.

 

 

12. General Provisions

1. Entire agreement. These Terms, together with the Privacy Policy and the applicable Package description at the time of booking, constitute the entire agreement between the Client and Goji in respect of the Coordination Services and supersede any prior representations, discussions, or correspondence.

2. Amendments. Goji may amend these Terms at any time by publishing a revised version on its website. The version in force on the date of the Client’s Booking Confirmation governs that booking.

3. Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions continue in full force and effect.

4. Waiver. Failure by Goji to enforce any provision of these Terms does not constitute a waiver of the right to enforce that provision on any future occasion.

5. No third-party rights. These Terms do not confer any rights on third parties under the Contracts (Rights of Third Parties) Ordinance (Cap. 623) or otherwise.

6. Language. These Terms are drafted in English. In the event of any conflict between the English version and any translation, the English version prevails.
